Taxpace and Pacekeeping Terms of Service
Version: 2026-10-12 · Status: draft for attorney review
Bracketed items, such as [THIS], are decisions still pending. They must be filled in before publishing.
These Terms of Service (the "Terms") are a binding agreement between Twenty Techworks LLC ("Twenty Techworks", "we", "us") and the person, business, tax preparation firm, accounting practice or individual preparer that creates an account (the "Subscriber", "you"). They govern your use of our products Taxpace and Pacekeeping, alone or together in a Bundle, their web applications, the links and pages the Subscriber's clients see, and related services (together, the "Service").
By checking the acceptance box, clicking "Accept" or using the Service, you agree to these Terms. If you accept on behalf of a company, you represent that you have authority to bind it. If you do not agree, do not use the Service.
1. Definitions
- Taxpace: our practice-management software for tax offices.
- Pacekeeping: our bookkeeping software, which uses artificial intelligence to read the bank statements and other records the Subscriber uploads. It has two kinds of plans:
- Pacekeeping Personal: for a person or business that keeps its own books. One user and no clients.
- Pacekeeping Business: for those who keep the books of their clients.
- Bundle: Taxpace and Pacekeeping purchased together, in a single subscription and a single account.
- Authorized User: a person the Subscriber allows to access its account, such as an employee, contractor or co-preparer.
- Client: a person or business the Subscriber serves through the Service. With Pacekeeping Personal there are no Clients: the Subscriber keeps only its own books.
- Client Data: information the Subscriber or its Clients upload to or create in the Service. It includes:
- Taxpayer Information: names, Social Security or ITIN numbers, income documents, tax returns and bank details;
- Bookkeeping Information: bank and credit card statements, receipts, checks, transactions, categories and reports.
With Pacekeeping Personal, Client Data is the Subscriber's own data and that of its business.
- Documentation: the help guides and product pages we publish for the Service.
2. The Service
Taxpace includes:
- client records;
- a document checklist for each return and a link for the client to upload documents;
- the status of each return, notes and reminders;
- payment links through processors the Subscriber connects;
- reports.
Pacekeeping includes:
- uploading bank and credit card statements, receipts and checks;
- reading them with artificial intelligence to extract the transactions;
- suggesting a category for each transaction, which the user confirms or changes;
- bookkeeping summaries and reports;
- with Pacekeeping Business, keeping the books of several Clients.
The Bundle includes both, within the limits of the plan purchased.
What the Service is not:
- Taxpace is not tax preparation or e-filing software. It does not transmit returns to the IRS or to any state.
- Pacekeeping is not an accounting firm or a bookkeeping service performed by people. It does not connect to your bank accounts or move money: it only reads what you upload.
- The Service does not give tax, legal or accounting advice, and it does not replace an accountant or a tax preparer.
- The Subscriber alone is responsible for its books and records, for the returns it prepares or files, and for the advice it gives its Clients.
We may improve or change the Service. If a change materially reduces core functionality you pay for, we will give you reasonable notice.
3. Accounts and security
- Accurate information: you must give accurate account information and keep it current.
- Access control: you are responsible for your Authorized Users, their permissions and everything done under your account.
- Two-step verification: you must use it whenever the Service offers it. The IRS (Publication 4557) expects tax professionals to protect access to taxpayer data this way.
- Credentials: keep them confidential. Tell us right away at [email protected] if you suspect unauthorized access.
- Suspension: we may suspend access that we reasonably believe is compromised, to protect you and your Clients.
- One account: Taxpace, Pacekeeping and the Bundle use the same account and the same sign-in.
4. Plans, fees and billing
- Plans: the Taxpace, Pacekeeping and Bundle plans, the features of each plan (for example, how many document readings it includes) and the prices are shown on our pricing page when you subscribe.
- Launch prices: if you subscribe to a paid plan on or before January 31, 2027, you keep that plan's launch price for 12 months from the day you subscribed, whether you pay monthly or annually. When those 12 months end, the subscription renews at the regular price of its plan. We will remind you at least 30 days before the change. If you switch plans during those 12 months, you pay the new plan's launch price until they end.
- Billing: fees are billed in advance, monthly or annually, through our payment processor (currently Stripe). We never see or store your full card number.
- Automatic renewal: your subscription renews automatically at the end of each billing period at the then-current price for your plan, until you cancel. We remind you before each annual renewal, as state automatic-renewal laws require.
- Price changes: we will notify you at least 30 days before a price change takes effect for your subscription. You may cancel before the change applies.
- Taxes: prices do not include sales or use taxes. Where they apply, they are added to your invoice.
- Late payment: if a payment fails, we will try to contact you. If the payment is still not made after [14] days, we may limit the account to read-only and export until it is paid.
5. Free plan and trials
- What it is: if we offer a free plan or trial, it is subject to the limits we publish, for example a number of clients.
- Pacekeeping free trial: it includes one (1) document and one (1) reading with artificial intelligence, only once in the life of the account. It does not renew each month. To read another document, you must choose a paid plan.
- Changes: we may change or end a free plan with notice. We will always let you export your data first.
6. Cancellation, account closure and refunds
Cancelling the subscription and closing the account are two different things:
- Cancelling the subscription: you can cancel online at any time from the account settings. You do not need to call us. Cancellation takes effect at the end of the current billing period; until then, you keep full access. After that, the account moves to the free plan of its product with all of its data: cancelling the subscription does not delete anything.
- Closing the account: the account owner can close it online at any time from the account settings. When the account is closed, the subscription is cancelled immediately, the account stays in read-only and export mode for 30 days, and the data is then deleted as described in Section 10. Until those 30 days end, the account can be reopened.
- Refunds: an annual plan that is cancelled, or whose account is closed, within 14 days of its first payment receives a full refund. Otherwise, and except where the law requires otherwise, fees already paid are not refundable, and partial periods are not prorated, including when the account is closed.
- What happens to your data: see Section 10.
7. Client Data and confidentiality of taxpayer information
- Ownership: the Subscriber owns its Client Data. We process Client Data only on the Subscriber's behalf and only to provide, secure and support the Service.
- Data Processing Agreement: when the Subscriber uses the Service with third parties' data (Taxpace, the Bundle or Pacekeeping Business), the Data Processing Agreement (the "DPA") also applies and is part of these Terms. With Pacekeeping Personal, it applies to the extent the data uploaded includes other people's personal information. [ATTORNEY: confirm the scope of the DPA for Pacekeeping Personal.]
- Section 7216: for Taxpayer Information, we act as an auxiliary service provider to the Subscriber under Treasury Regulation §301.7216-2(d). We do not use or disclose Taxpayer Information for any other purpose.
- What we never do with Client Data:
- sell it;
- share it for advertising;
- use it to market to your Clients;
- use it to train artificial-intelligence models, ours or anyone else's.
- De-identified metrics: we may use aggregated data about how the Service is used. This data contains no Taxpayer Information or Bookkeeping Information and cannot reasonably identify the Subscriber or any person. We use it to operate and improve the Service.
- The Subscriber's responsibilities:
- Obtain any consent and permission its Clients must give under Section 7216 or other law. This includes permission to upload its Clients' statements, receipts and checks, and consent to use the optional features that send information to third parties (for example WhatsApp or AI document reading).
- If it is a tax firm or another financial institution, keep its own written information security program (WISP) under the FTC Safeguards Rule (16 CFR Part 314).
- Upload only data it is allowed to process.
8. Acceptable use
You and your Authorized Users will not:
- Break the law or others' rights: use the Service to break any law, including tax, privacy, anti-spam and consumer-protection laws.
- Act without authority: upload data you are not allowed to process, for example another person's statements without their permission, or contact Clients through the Service without the consent the law requires.
- Attack the Service: try to reach data of other accounts, probe or test the security of the Service without our written permission, or interfere with its operation.
- Use it improperly: reverse engineer the Service, resell it, or use it to build a competing product.
- Upload harmful content: upload malware or illegal content.
We may suspend accounts that break this section after notice, or without notice if needed to prevent harm.
9. Third-party services the Subscriber chooses to connect
Some features work with services the Subscriber chooses and that are governed by their own terms:
- sign-in with Google;
- card processors (Square, Stripe);
- WhatsApp;
- AI document reading (Google Gemini). In Pacekeeping, reading documents with artificial intelligence is the core feature: when a document is uploaded to be read, it is sent to that provider.
We are not responsible for those services. When the Subscriber uses one of those features, it authorizes us to exchange the data that feature needs. The current list is on our Subprocessors page.
10. Data retention, export and deletion
- During the subscription: Client Data and documents are kept for as long as the Subscriber keeps them in the Service. The Service is designed to keep documents for seven (7) years.
- The Subscriber's records: the Subscriber is responsible for its own obligations to keep documents and books. For example, 26 CFR §1.6107-1 requires preparers to keep copies of returns for at least three years.
- Export: the Subscriber can export its data at any time in common formats (CSV and the original files).
- After cancelling the subscription: nothing is deleted. The account stays on the free plan with all of its data.
- After closing the account:
- the account stays in read-only and export mode for 30 days, and it can be reopened during that time;
- when those 30 days end, Client Data, its documents and the Subscriber's users are deleted automatically, and in no case later than 60 days after that;
- copies in encrypted backups are erased as backups rotate, within [7] days;
- when the deletion is complete, we send an email as confirmation;
- for the Subscriber, we keep only what the law requires for billing (name, dates and payments), with no Client Data. We keep nothing longer, unless the law requires it or the Subscriber asks us in writing to keep it longer.
- If the Service ends for any other reason (Section 18), the data is handled the same way as when the account is closed.
11. Artificial-intelligence features and bookkeeping results
Some features use AI, for example reading bank statements, receipts and checks, suggesting categories or answering questions about the Subscriber's own data.
- Review the results: AI outputs may be inaccurate, for example a transaction read wrongly, missed or miscategorized. The Subscriber must review them before relying on them.
- No advice: neither AI outputs nor Pacekeeping reports are tax, legal or accounting advice.
- Your books are your responsibility: the Subscriber reviews, corrects and approves its books and records, and is solely responsible for them and for what it does with them, such as filing returns or making business decisions.
- No training: Client Data sent to an AI provider is used only to produce the result. Our agreements with those providers do not allow them to train their models with it.
12. Availability and support
- Availability: we work to keep the Service available, especially during tax season. We do not guarantee uninterrupted service unless we sign a separate service-level agreement.
- Maintenance: we announce planned maintenance in advance when we can.
- Support: support is provided through the channels listed in the Service.
13. Intellectual property
- Ours: we and our licensors own the Service, its software and its design, and the Taxpace and Pacekeeping marks. We grant the Subscriber a limited, non-exclusive, non-transferable right to use the Service during its subscription.
- Yours: the Subscriber keeps all rights to its Client Data and to its logos and brand materials.
- Feedback: you allow us to use suggestions you give us without obligation to you.
14. Confidentiality
- Mutual duty: each party will protect the other's non-public business information with reasonable care and use it only for this agreement.
- Client Data: Client Data is also protected by Section 7 and, where it applies, the DPA.
15. Disclaimer of warranties
EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
THE SERVICE DOES NOT REPLACE THE SUBSCRIBER'S PROFESSIONAL JUDGMENT OR THAT OF AN ACCOUNTANT OR TAX PREPARER. IT DOES NOT GUARANTEE THE ACCURACY OF ANY RETURN, REFUND ESTIMATE, IRS STATUS, DEADLINE, DOCUMENT READING, CATEGORY, BALANCE OR BOOKKEEPING REPORT SHOWN IN IT.
16. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Indirect damages: NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUE.
- Cap: EACH PARTY'S TOTAL LIABILITY UNDER THESE TERMS IS LIMITED TO THE FEES THE SUBSCRIBER PAID FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT THAT GAVE RISE TO THE CLAIM.
- Exceptions: these limits do not apply to a party's indemnification obligations, to the Subscriber's payment obligations, or to liability that cannot be limited by law. [ATTORNEY: consider a separate, higher cap for data-security breaches.]
17. Indemnification
- The Subscriber defends us: the Subscriber will defend and indemnify us against third-party claims arising from (a) its Client Data, (b) its tax or bookkeeping services, its books and records or its advice, or (c) its breach of Sections 7 or 8.
- We defend the Subscriber: we will defend and indemnify the Subscriber against third-party claims that the Service, as we provide it, infringes their intellectual-property rights.
18. Term, suspension and termination
- Term: these Terms apply while you use the Service.
- Ending for breach: either party may terminate for a material breach not cured within 30 days after written notice.
- Ending by us for convenience: we may end a subscription on 60 days' notice. We refund any prepaid fees for the unused period.
- What survives: Sections 7, 10, 13 to 17 and 20 survive termination.
19. Changes to these Terms
- Notice: we may update these Terms. We will notify you at least 30 days before material changes take effect.
- Acceptance: where the law requires, we will ask you to accept the new version again.
- Records: the date and version each user accepted are recorded.
- If you disagree: if you do not agree with a change, you may cancel before it takes effect.
20. Governing law and disputes
- Governing law: these Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law rules.
- Disputes: disputes go to the state or federal courts located in Cook County, Illinois. [ATTORNEY: confirm, or recommend binding individual arbitration with a small-claims carve-out. Also review whether anything changes when the Subscriber is an individual who uses Pacekeeping Personal for personal finances rather than for a business (consumer-protection laws).]
21. Electronic communications and notices
- Electronic notices: you agree to receive notices electronically, by email to the account owner or inside the Service.
- Notices to us: send them to [email protected] and 6728 S Pulaski Rd, Chicago, IL 60629.
22. Miscellaneous
- Entire agreement: these Terms, the DPA and the policies they link to are the entire agreement between the parties.
- Assignment: neither party may assign these Terms without consent, except in a merger or sale of substantially all assets, with notice.
- Severability: if a provision is unenforceable, the rest remains in effect.
- No waiver: failure to enforce a provision is not a waiver.
- Language: if there is a conflict between the English and Spanish versions, the English version governs.
